These Terms and Conditions govern access to and use of the assetoraa.com website and the real estate crowdlending services offered by Assetoraa SpA ("Assetoraa", "the Platform", "we"), a company incorporated under the laws of the Republic of Chile, with registered address at Av. Apoquindo 4700, Office 1205, Las Condes, Santiago, Chile, Tax ID (RUT) 77.456.789-0. By using our website, you accept these terms in their entirety.
1. Description of Service
Assetoraa operates a digital real estate crowdlending platform that allows investors to collectively participate in the financing of construction and urban development projects in Chile. The platform acts as an intermediary between investors and real estate developers, facilitating the management, monitoring, and distribution of investment returns.
2. Eligibility and Registration
To use Assetoraa's investment services, you must: be at least 18 years of age, possess a valid Chilean identity card or foreigner's RUT, provide truthful and up-to-date information during the registration process, comply with Know Your Customer (KYC) verification procedures required by Chilean regulations, and not be subject to sanctions or legal restrictions that prevent you from making investments.
3. Nature of Investment and Risks
Investments made through Assetoraa carry inherent risks that the investor must consider: invested capital is not guaranteed and may be lost in whole or in part. Projected returns are estimates and do not constitute a guarantee of results. Real estate projects are subject to construction, regulatory, market, and liquidity risks. Assetoraa is not a bank or an investment fund manager. Project timelines may be extended for reasons beyond the platform's control. Before investing, we recommend consulting with an independent financial advisor.
4. User Obligations
By using the platform, you agree to: provide truthful personal and financial information, maintain the confidentiality of your access credentials, not use the platform for unlawful or fraudulent purposes, comply with tax obligations arising from your investments before the Internal Revenue Service (SII), and notify Assetoraa immediately of any unauthorized use of your account.
5. Fees and Charges
Assetoraa charges fees for investment intermediation, which are specifically detailed in each investment opportunity published on the platform. Fees include: a management fee calculated on the invested amount, administrative fees for transaction processing, and specific amounts are transparently disclosed before the investor confirms participation. Assetoraa reserves the right to modify its fees, notifying users at least 30 days in advance.
6. Intellectual Property
All content on the assetoraa.com website, including texts, graphics, logos, images, software, and source code, is the property of Assetoraa SpA or its licensors and is protected by Chile's intellectual property laws (Law No. 17,336) and applicable international treaties. Reproduction, distribution, or modification of content without prior written authorization is prohibited.
7. Limitation of Liability
Assetoraa shall not be liable for: losses arising from investments made by users, temporary service interruptions due to maintenance or force majeure, actions or omissions of associated real estate developers, damages arising from misuse of the platform by the user, or variations in the real estate market or general economic conditions.
8. Dispute Resolution
Any controversy arising from these Terms and Conditions shall be submitted to the ordinary courts of justice of the city of Santiago de Chile, with the parties waiving any other jurisdiction that may correspond to them. The parties may, by mutual agreement, submit the dispute to a mediation process before resorting to judicial proceedings.
9. Modifications
Assetoraa reserves the right to modify these Terms and Conditions at any time. Modifications will take effect upon publication on the website. Registered users will be notified by email of substantial changes at least 15 days in advance. Continued use of the platform after modifications constitutes acceptance of the new terms.
10. Applicable Law
These Terms and Conditions are governed by the laws of the Republic of Chile, particularly the Civil Code, the Commercial Code, Law No. 19,628 on Protection of Private Life, and regulations issued by the Financial Market Commission (CMF).
